Approval of Name, Business Scope, Legal Address,
Shareholders Changes and Alternations,
and Investment Increasing of the Existing Enterprises
A. Business Scope Changes and Alternations
Application to the Administrative Committee by the enterprises;
resolution signed by all the members the board of directors; feasibility
study report; financial report; original copies of the Approval
Certificate and the duplicate copy of the Business License, environment
approval.
B. Legal Address Changes and Alternations
Application to the Administrative Committee by the enterprises;
resolution signed by all the members of the board of directors;
new address certification; original copies of the Approval Certificate
and duplicate copy of the Business License.
C. Name Changes and Alternations
Applications to the Administrative Committee by the enterprises;
resolution signed all the members of the board of directors; preliminary
name approval by the Industry & Commerce Administration; original
copies of the Approval Certificate and duplicate copy of the Business
License.
D. The Ownership of the Shareholders
Changes and Alteration
In the case that the enterprises may experience the changes and
alterations of their ownership in the normal status, the following
documents shall be submitted: Applications to the Administrative
Committee by the enterprises; agreement of the changes to the original
contract and article of association; original copy of the Approval
Certificate and duplicate copy of the Business License; resolutions
signed by the board of directors; a list of members of boards of
directors with their signatures; agreement of transfer signed by
the both concerned parties upon the third party's witness; duplicate
copy of the Business License, credit certificates and credentials
of legal representatives of the new shareholders.
In the case that the enterprises may experience the changes and
alterations of their shareholders due to the existing shareholders
failing to contribute their due amount of capitals according to
the contract and the articles of the associations, the following
documents shall be submitted in addition to the above mentioned
documents: the financial report prepared by the China charted accountant
and its house, the notice issued by the party who has completed
its contributions to the party who failed to contribute.
In the case that the enterprises may experience the changes and
alterations of their ownership due to the Chinese party who hold
the state-owned assets may change their ownership, the additional
following documents shall be submitted: the comments made by the
senior department against the changes of the ownership, the evaluation
report made by the assets evaluation house, the confirmation letter
made by the state assets management authority against the aforesaid
report and the value of the transfer.
E. Increasing Investment
Applications to the Administrative Committee by the enterprises;
resolution signed by the board of directors; agreements of investment
increasing and changes of the original contracts and articles of
association signed by all the shareholders; feasibility study report
for investment increasing (approval upon the upper administration
for the restricted B projects); financial report, environment approval.
